CORPORATE OPERATIONS - Our attorneys serve as general counsel to numerous corporations throughout mid Michigan and consult with them on various corporate and tax issues including corporate and individual tax planning, annual Board of Directors and Shareholders meetings, corporate restructuring, mergers, liquidations, acquisitions, purchase and sale of businesses, review of loan documents and transactional agreements, and other business matters.  We also assist our clients in handling corporate compliance with State and Federal obligations and environmental compliance issues. 

INTELLECTUAL PROPERTY/INTERNET LAW - Willingham & Coté, P.C.'s team of experts include our intellectual property practice.  We plan and consult with our clients regarding trademark, trade secret and copyright protection issues at the state and Federal levels.  Issues include identification, registration, licensing, enforcement and infringement of ownership rights; marketing and advertising issues; development of trade secret protection policies; and non-disclosure and confidentiality agreements with employees and contractors.  Internet law presents emerging intellectual property issues arising from association and  business use of the Internet, including Website content ownership, contracts with Internet service providers, Internet infringement issues, employee electronic communications and privacy issues.

FRANCHISE LAW - The firm's franchise attorneys are experienced in handling complex franchise issues.  We represent National and State franchisors and/or franchises.  We assist in reviewing franchise documents and giving guidance on how to resolve or prevent disputes.  Our franchise attorneys have extensive experience in resolving disputes between franchisors and franchises through litigation and arbitration. 

REAL ESTATE - The firm's Real Estate attorneys handle all aspects of commercial real estate transactions including reviewing and drafting of documents for financing, leasing acquisition of commercial property, land or condominium development, and construction. property.  We also represent our clients before State, city and township boards in obtaining permits, zoning and site plan approvals and variances.  Clients are advised on the tax implications of real estate transactions including the tax impact of certain entity organizations, the tax impact of the sale or purchase of property and IRS § 1031 like-kind exchanges. 

TAXATION - Our attorneys are experienced with representing clients before the IRS on corporate and personal tax audits and other tax matters including withholding tax liability matters.  We have also represented clients before the State of Michigan on single business tax, sales, use and withholding taxes, and property tax assessments and appeals.  We advise clients on the tax impact of mergers, acquisitions and disposition of assets and engage in tax planning relative to corporate operations.  And, if necessary, our litigation department has experience defending clients in State, Federal and U.S. Tax Courts.
